Magnibiz Terms of Service

These terms apply to the use of Magnibiz, a platform for courses, memberships, websites, sales and emails, provided by:

Magnibiz ApS Company registration no. 45135489 Helgavej 13, 3060 Espergærde, Denmark Email: hello@magnibiz.com

1. Who these terms apply to

"We" and "us" means Magnibiz ApS. "The customer" or "you" means the business that creates an account and subscribes to Magnibiz. "End users" means the customer's own students, members, contacts and buyers.

Magnibiz is sold to businesses only. By creating an account, you confirm that you are acting in the course of your business and are authorised to bind the business. The Danish Consumer Contracts Act, including the right of withdrawal, therefore does not apply.

Appendix 1 (data processing agreement) forms part of these terms.

2. The service

Magnibiz gives the customer access to build and run their own business on the platform, including courses, member areas, community, websites and sales pages, checkout through the customer's own Stripe account, contacts, email sequences, bookings and the AI assistant Magni. What is included in the chosen plan is shown on the pricing page at the time of purchase.

We continuously develop the service. We may add, change and remove features. If we remove a significant feature from the customer's plan, we will give at least 30 days' notice, and the customer may cancel with effect from the change.

3. Account and access

The customer must provide accurate information and keep it up to date. The customer is responsible for all use of the account, including by employees and others the customer gives access. Login details must be kept secure. Suspected misuse must be reported to us immediately.

Our staff may access the customer's account when necessary for support, operations, security or troubleshooting, and only to the extent required.

4. Subscription and payment

The subscription is paid monthly or annually in advance by card and renews automatically for a new period of the same length until cancelled. Prices are stated excluding VAT.

If a payment is not made on time, we will send a reminder. If payment has not been completed 14 days after the reminder, we may lock the customer's admin access. After a further 30 days, we may close the account in accordance with section 13. We may charge interest and reminder fees in accordance with the Danish Interest Act.

Members keep the price they signed up at for as long as the subscription remains active without interruption. If the subscription is cancelled, the price lapses. Any additional benefits are set out in the offer at sign-up.

Price changes are announced at least 30 days before they take effect. The customer may cancel with effect from the change.

5. Cancellation

The customer can cancel the subscription at any time under settings or by writing to us. Cancellation takes effect at the end of the paid period. Paid periods are not refunded, in whole or in part.

We may terminate the subscription with 3 months' notice. In that case, we will refund any prepaid amount for the period after termination.

6. Magni and AI credits

The plan includes a number of AI credits per period. Unused credits do not roll over and are not refunded. Extra credits can be purchased.

Magni creates suggestions and drafts. Everything is created as a draft, and nothing is published or sent without the customer's approval. The customer is responsible for checking the content before use, including that it is accurate and does not infringe the rights of others. The customer's content is not used to train AI models.

7. The customer's sales to end users

The customer sells in their own name and for their own account. The purchase agreement is between the customer and the end user. Magnibiz is not a party to it.

Payments go directly to the customer's own Stripe account. The customer has their own agreement with Stripe and bears Stripe's fees, refunds, chargebacks and disputes. Magnibiz does not take a fee from the customer's sales unless stated in the chosen plan.

The customer is responsible for complying with the laws that apply to their business, including having their own terms and privacy policy, providing correct information about prices and VAT, giving consumers their right of withdrawal, obtaining consent for marketing, and paying VAT and taxes.

8. The customer's content and data

The customer owns all content and data that the customer and end users add to the platform. The customer grants us the right to store, process and display the content to the extent necessary to provide the service.

The customer can export contacts, orders and content at any time using the export features the platform offers.

The customer warrants that they have the necessary rights to the content, such as music, images and videos.

9. Acceptable use

The customer may not use Magnibiz for:

  1. illegal content, or content that infringes the copyright, trademarks or privacy of others
  2. sending emails to recipients who have not given consent under marketing law (spam)
  3. misleading marketing, pyramid schemes or fraud
  4. content that is hateful, threatening, pornographic or exploits children
  5. attempting to bypass security, placing unreasonable load on the system or accessing other customers' data

In case of a breach, we may remove the content, restrict features or close the account. If the breach is not serious, we will first give the customer the opportunity to correct it.

10. Operations and support

We provide the service with the availability that can be expected of a modern web service, but cannot guarantee that it will always be available and error-free. Planned maintenance is carried out outside Danish business hours where possible.

We take regular backups. The customer should regularly export important data themselves.

Support is provided by email on weekdays.

11. Intellectual property

All rights to Magnibiz, including software, design, templates, trademarks and documentation, belong to Magnibiz ApS. The customer receives a non-exclusive, non-transferable right to use the service during the subscription period.

If the customer gives us suggestions for improvements, we may use them freely.

12. Liability and limitation of liability

We are liable in accordance with the general rules of Danish law, with the following limitations:

  1. We are not liable for indirect loss, including operating loss, loss of revenue, loss of profit, loss of goodwill or loss of data.
  2. Our total liability is limited to the amount the customer has paid for the service in the 12 months before the damage occurred.
  3. We are not liable for third parties the customer connects to, such as Stripe, Zoom and domain providers, or for the customer's agreements with end users.

These limitations do not apply in cases of intent or gross negligence.

The customer shall indemnify us against claims from end users and third parties arising from the customer's content, sales or breach of these terms.

13. Termination

On termination, for any reason, the customer can export their data for 30 days. After that, we delete the customer's content and end-user data, unless the law requires us to keep it. Invoices for the customer's subscription are kept in accordance with the Danish Bookkeeping Act.

We may terminate the agreement immediately in the event of material breach, such as non-payment under section 4 or a serious breach of section 9.

14. Force majeure

We are not liable for delay or failure to deliver caused by circumstances beyond our control, such as outages at hosting or network providers, cyberattacks, strikes, war, natural disasters or government action.

15. Changes to these terms

Significant changes to the customer's disadvantage are announced by email at least 30 days before they take effect. The customer may cancel with effect from the change. If the customer continues the subscription after that, the new terms apply.

16. Assignment

We may assign the agreement to another company that takes over the operation of Magnibiz. The customer may only assign the agreement with our written consent.

17. Governing law and venue

The agreement is governed by Danish law. Disputes are settled by the District Court of Elsinore as the court of first instance.

Appendix 1: Data processing agreement

This data processing agreement under Article 28 of the General Data Protection Regulation (GDPR) is entered into between the customer as data controller and Magnibiz ApS as data processor.

1. The processing
  1. Purpose: to provide the Magnibiz platform to the customer under the terms of service.
  2. Nature: storage, hosting, display, sending emails, recording payments, course progress statistics and AI processing when the customer uses Magni.

2. Instructions

Magnibiz only processes personal data on the customer's documented instructions. The terms of service, this agreement and the customer's use and settings of the platform constitute the instructions. If Magnibiz believes an instruction infringes data protection rules, we will inform the customer immediately.

3. Confidentiality

Only staff who need it are given access, and they are bound by confidentiality.

4. Security

Magnibiz takes appropriate technical and organisational measures under GDPR Article 32, including encrypted connections (TLS), access control and logging, separation of customer data, encrypted storage of secret keys, regular backups and system updates.

5. Sub-processors

The customer gives general authorisation for Magnibiz to use sub-processors. The current sub-processors are:

Sub-processor

Stripe and Zoom are not sub-processors for Magnibiz. The customer connects their own account and has their own agreement with them.

Magnibiz notifies the customer at least 30 days before a new sub-processor is engaged. The customer may object and, if we cannot accommodate the objection, cancel with effect from the change. Magnibiz imposes the same obligations on sub-processors as in this agreement.

6. Transfers to third countries

Transfers to countries outside the EU/EEA only take place with a valid transfer mechanism under GDPR Chapter V, such as the European Commission's adequacy decision (EU-U.S. Data Privacy Framework) or standard contractual clauses.

7. Assistance

Magnibiz assists the customer in responding to requests from data subjects, such as access and deletion, primarily through the platform's features. Magnibiz also assists with impact assessments and prior consultations where relevant. If a data subject contacts Magnibiz directly, we forward the request to the customer.

8. Personal data breaches

Magnibiz notifies the customer without undue delay and no later than 48 hours after becoming aware of a breach. The notification contains the information the customer needs to report the breach to the Danish Data Protection Agency within 72 hours.

9. Deletion and return

On termination, the customer can export their data for 30 days. After that, Magnibiz deletes the personal data, including copies, unless the law requires it to be kept. Backups are deleted as they expire, no later than after 60 days.

10. Supervision and audit

Magnibiz makes available the information necessary to demonstrate compliance with this agreement. With 30 days' notice, the customer may have an audit carried out at its own expense, no more than once a year, unless there is a specific suspicion of a breach or the Danish Data Protection Agency requires it.

11. Liability and duration

Liability under this agreement follows section 12 of the terms of service, unless otherwise provided by GDPR Article 82. The agreement runs for as long as Magnibiz processes personal data for the customer. In the event of conflict between the terms of service and this agreement, this agreement prevails as regards the protection of personal data.
